Terms and Conditions for Becoming a Distributor of The Namkeen Co.
1. Introduction
These Terms and Conditions (the "Agreement") govern the application and relationship between The Namkeen Co. ("Company") and the distributor ("Distributor"). By submitting the Distributor Interest Form and accepting this Agreement, the Distributor agrees to abide by the terms outlined below.
2. Application Process
Eligibility: To be eligible to become a distributor, the applicant must provide accurate and complete information in the Distributor Interest Form. The Company reserves the right to reject any application that does not meet its criteria.
Review and Approval: All applications will be reviewed by the Company. Approval is subject to the Company’s discretion based on various factors including but not limited to the applicant’s experience, business capabilities, and alignment with the Company’s objectives.
3. Distributor Obligations
Compliance: The Distributor agrees to comply with all applicable laws, regulations, and Company policies related to the distribution and sale of The Namkeen Co.’s products.
Performance: The Distributor shall make reasonable efforts to promote, sell, and distribute the Company’s products within the designated territory or market.
Reporting: The Distributor agrees to provide regular sales reports, inventory updates, and market feedback as required by the Company.
Marketing and Branding: The Distributor agrees to adhere to the Company’s branding and marketing guidelines and to use promotional materials provided by the Company solely for the purpose of selling its products.
Product Storage and Handling: The Distributor must ensure that all products are stored and handled in accordance with the Company’s guidelines to maintain product quality.
4. Terms of Sale
Pricing and Payment: Prices, payment terms, and credit limits will be determined by the Company and are subject to change. The Distributor agrees to pay for products in accordance with the Company’s invoicing terms.
Minimum Purchase Requirements: The Company may establish minimum purchase requirements which the Distributor agrees to meet.
Returns and Damages: The Distributor must inspect products upon receipt and report any discrepancies or damages within a specified period. The Company’s return policy will govern the handling of returns and exchanges.
5. Termination
Termination for Convenience: Either party may terminate this Agreement with written notice of [30] days.
Termination for Cause: The Company may terminate this Agreement immediately if the Distributor breaches any terms of this Agreement, fails to meet performance expectations, or engages in any activity that harms the Company’s reputation.
6. Confidentiality
The Distributor agrees to keep confidential any proprietary information received from the Company and not to disclose such information to third parties without prior written consent.
7. Liability and Indemnification
Liability: The Distributor agrees to indemnify and hold harmless The Namkeen Co., its officers, directors, employees, and agents from any claims, damages, or liabilities arising from the Distributor’s activities or breach of this Agreement.
Insurance: The Distributor agrees to maintain adequate insurance coverage to protect against liabilities arising from the distribution of the Company’s products.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Ankleshwar Jurisdiction, without regard to its conflict of laws principles.
9. Amendments
The Company reserves the right to amend these Terms and Conditions at any time. The Distributor will be notified of any changes, and continued participation as a distributor constitutes acceptance of the amended terms.
10. Dispute Resolution
Any disputes arising under this Agreement shall be resolved through binding arbitration in accordance with the rules, at Ankleshwar Jurisdiction.
11. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings.
By submitting the Distributor Interest Form, the Distributor acknowledges that they have read, understood, and agree to these Terms and Conditions.
